Terms of Use, Disclaimer, and Limitation of Liability

NorthSlate is operated by Digital Dusk Media (the "Seller", "we", "us"). By accessing, creating an account, using, or continuing to use NorthSlate, you agree to these Terms of Use between you and Digital Dusk Media. If you do not agree, do not use the app.

NorthSlate is a production planning and workflow tool only. It is provided to help users organize projects, shoot days, call sheets, equipment lists, notes, schedules, live production timing, and related production information. NorthSlate does not replace professional judgment, production management, safety procedures, legal advice, insurance, permits, union rules, workplace regulations, equipment training, location management, emergency planning, or any other professional responsibility required for a real production.

You use NorthSlate entirely at your own risk.

We are not responsible for any production issue, missed call time, scheduling mistake, equipment loss, equipment damage, data loss, deleted information, incorrect call sheet, incorrect crew information, app outage, sync issue, software bug, technical failure, internet failure, device failure, battery failure, export error, PDF error, delay, missed shot, lost footage, lost audio, crew conflict, client issue, financial loss, business loss, reputational harm, injury, accident, unsafe condition, legal problem, permit issue, insurance issue, or any other direct or indirect problem connected in any way to your use of NorthSlate.

You are solely responsible for verifying all information entered into the app, including but not limited to call times, addresses, crew details, emergency information, equipment lists, production schedules, permissions, insurance requirements, safety procedures, and legal compliance.

NorthSlate is provided “as is” and “as available,” without warranties of any kind. We do not guarantee that the app will be uninterrupted, error-free, secure, accurate, complete, available at any specific time, compatible with every device, or suitable for any specific production, client, shoot, workflow, or business purpose.

To the maximum extent permitted by law, NorthSlate, its owners, creators, operators, affiliates, contractors, suppliers, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, punitive, exemplary, financial, business, production-related, personal, physical, reputational, or data-related damages arising from or connected to the use of the app.

You agree that you are responsible for maintaining your own backups, paper copies, exports, alternate plans, emergency contacts, insurance, permits, safety processes, and production records. Do not rely on NorthSlate as your only source of critical production information.

You agree to indemnify, defend, and hold harmless NorthSlate, its owners, creators, operators, affiliates, contractors, suppliers, and service providers from any claim, demand, loss, liability, damage, cost, legal fee, or expense arising from your use of the app, your production activities, your uploaded content, your violation of these terms, your negligence, your failure to verify information, your failure to follow applicable laws or safety practices, or any dispute involving your clients, crew, contractors, locations, subjects, vendors, or third parties.

NorthSlate does not provide legal, financial, safety, medical, insurance, tax, production, employment, union, or professional advice. Any information, template, checklist, call sheet, production summary, or workflow generated by the app is for organizational convenience only and must be reviewed and approved by the user before use.

All NorthSlate branding, name, logo, interface design, layout, workflows, features, templates, text, structure, visual identity, software, source code, database structure, design system, and related materials are owned by NorthSlate or its licensors and are protected by applicable intellectual property laws.

You may not copy, clone, reproduce, resell, redistribute, modify, reverse engineer, decompile, scrape, mirror, imitate, white-label, rebrand, or create a competing product based on NorthSlate, its interface, workflows, structure, templates, branding, or software without prior written permission.

You may not claim NorthSlate, its design, its workflows, its features, its branding, or any part of the app as your own. You may not use NorthSlate to develop, train, or assist in creating a competing app, platform, template system, production management tool, or similar service.

We reserve the right to suspend or terminate access to NorthSlate at any time if we believe a user has violated these terms, misused the app, copied the product, attempted to reverse engineer it, interfered with the service, or used it in a way that creates risk for NorthSlate or other users.

Payments, subscriptions, billing, taxes, currency conversion, invoices, refunds, chargebacks, and renewals for paid NorthSlate plans are handled by our online reseller Paddle.com, which is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to payments and handles returns. By purchasing a NorthSlate subscription you also agree to Paddle's Checkout Buyer Terms available at https://www.paddle.com/legal/checkout-buyer-terms. Paid plans renew automatically at the end of each billing period (monthly or yearly) at the then-current price unless cancelled before the renewal date; you can cancel at any time via the customer portal, and access continues until the end of the paid period. Refund eligibility is described in our Refund Policy.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those cases, our liability shall be limited to the maximum extent permitted by law.

By using NorthSlate, you confirm that you understand and accept that the app is only a tool, that production decisions remain your responsibility, and that you are using the app at your own risk.
